The agreement governing eligible Klarity accounts, educational support, subscriptions, credits, uploads, AI use, and disputes.

1. Agreement and legal provider
Skillwarp Inc. is a Canadian federal corporation and the legal company that owns, provides, and operates the Klarity AI Tutor service. Klarity AI Tutor is a brand name only and is not a corporation, subsidiary, partnership, or separate registered legal entity. References to “Klarity,” “Klarity AI Tutor,” “we,” “us,” and “our” in this package mean Skillwarp Inc. when describing the legal provider of the Service.
Skillwarp Inc. separately operates its own corporate B2B SaaS website. That business is distinct from the consumer Klarity AI Tutor service even though Skillwarp Inc operates both.
These Terms are effective August 1, 2026. By creating an account, accepting these Terms, purchasing a paid plan or credit pack, or using the Service, the Account Holder agrees to these Terms and the documents incorporated by reference.

2. Eligibility and account types
Known users under 13 are not eligible for a student account or tutoring service.
Students ages 13-17 use a Parent-Managed Account.
Users age 18 or older may create a separate Adult Student Account if legally able to contract where they reside.
A Parent-Managed Account does not convert, transfer, or migrate into an Adult Student Account. When a student reaches the adult-account threshold, the student must create a new account and independently accept the current adult terms and privacy notice.
No subscription, credits, payment method, files, recordings, tutoring history, or Parent permissions automatically transfer to the new Adult Student Account.
3. Supplementary educational support only

AI output may be inaccurate, incomplete, outdated, biased, or inconsistent with a teacher, course, textbook, or institution.
Users must review and verify important work before relying on or submitting it.
Klarity does not guarantee grades, test scores, academic improvement, admission, scholarships, course completion, graduation, teacher acceptance, curriculum alignment, employment, licensing, or any other educational or professional outcome.
Progress dashboards and analytics are informational study-support tools and are not formal educational, psychological, medical, diagnostic, or professional assessments.
Live AI Tutoring is interactive text-based AI, not a human tutor and not current real-time voice tutoring.
4. Accounts, Parent management, and security
Account information must be accurate and kept current.
Parents control billing and administration of Parent-Managed Accounts.
Credentials may not be sold, transferred, or shared outside authorized users.
Klarity may use proportionate security, anti-fraud, age-assurance, and re-verification controls.
Users must promptly report suspected unauthorized access to security@klarityaitutor.com or support@klarityaitutor.com.
5. Academic integrity and acceptable use
Users must follow school, instructor, testing-body, and institutional rules. Klarity may not be used to cheat, impersonate a student, obtain prohibited assessment answers, bypass proctoring, submit AI output as original work where prohibited, or violate Document 12.
6. Uploads, recordings, and third-party rights
Upload only materials you are authorized to use.
Do not upload restricted examinations, answer keys, confidential third-party records, payment-card data, government identification, intimate images, unnecessary medical information, or content you are prohibited from sharing.
Record only when authorized by every person, institution, policy, contract, and law that applies. Klarity does not determine whether a recording is lawful.
The user grants Skillwarp Inc. and contracted processors a limited license to host, transmit, reproduce, transform, and process submitted content only as reasonably needed to provide, secure, support, and lawfully operate the Service.
7. Subscriptions, trial, credits, and payment identity
The free trial does not require a credit card. It ends automatically after 30 days or when all 400 trial credits have been consumed, whichever happens first. The trial does not automatically become a paid subscription, and no charge is made merely because the trial ends.
Paid subscriptions and credit packs are separate transactions with Skillwarp Inc. Before any charge, the user must be shown and affirmatively accept the price, taxes, billing frequency, renewal terms, cancellation method, refund position, and the fact that Skillwarp Inc. is the payment recipient.
8. Privacy and AI processing
Personal information is handled under Documents 5-9 and applicable law.
Student Data, tutoring conversations, Uploaded Materials, lecture recordings, transcripts, and generated study materials are not used to train general-purpose AI models.
Klarity does not sell Student Data or use Student Data for behavioral advertising.
Personal information may be processed in the United States, Canada, and other verified service-provider locations disclosed in the Privacy Policy and subprocessor notice.
9. Intellectual property
Skillwarp Inc. and its licensors retain rights in the Service, software, brand assets, prompts, interfaces, and proprietary materials. Users retain rights they lawfully hold in their uploaded content. AI-generated output may not be unique, copyrightable, or free of third-party rights; Klarity does not guarantee exclusivity or ownership.
10. Availability, changes, suspension, and termination
Features may be modified, limited, suspended, or discontinued. Klarity does not guarantee uninterrupted or error-free service. Skillwarp Inc. may restrict or terminate access for unlawful conduct, safety risk, non-payment, fraud, account compromise, repeated infringement, or material policy violations. Where reasonable, notice and an opportunity to address the issue will be provided unless immediate action is needed.
11. Disclaimers and limitation of liability
To the fullest extent permitted by law, the Service is provided on an “as available” basis and without warranties that may lawfully be disclaimed. Nothing in these Terms waives rights or remedies that cannot lawfully be waived.
To the fullest extent permitted by law, Skillwarp Inc. is not liable for indirect, incidental, special, punitive, exemplary, or consequential losses, loss of academic opportunity, or reliance on unverified AI output. Where a monetary cap is legally permitted, aggregate liability will not exceed the greater of amounts paid for the affected Service during the six months before the event giving rise to the claim or US$100.
12. Governing law and disputes
Mandatory consumer, privacy, disability, and other non-waivable rights of the user’s state continue to apply. Users should first use Document 21 where reasonable, but nothing prevents a user from contacting a regulator, attorney general, court, or other authority with lawful jurisdiction.
